General terms and conditions of business

1. Scope of Application

The following General Terms and Conditions (GTC) apply to all orders placed via our online shop by consumers and entrepreneurs.

According to § 13 BGB (German Civil Code), a consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed.

For entrepreneurs, the following applies: If the entrepreneur uses conflicting or supplementary General Terms and Conditions, their validity is hereby rejected; they only become part of the contract if we have expressly agreed to them.

2. Contracting Party, Conclusion of Contract, Correction Options

The purchase contract is concluded with WonderGrow GmbH.

By placing products in the online shop, we make a binding offer to conclude a contract for these items. You can initially place our products in the shopping cart without obligation and correct your entries at any time before submitting your binding order by using the correction aids provided and explained for this purpose in the order process. The contract is concluded when you accept the offer for the products contained in the shopping cart by clicking the order button. Immediately after sending the order, you will receive another confirmation by e-mail.

3. Contract Language, Storage of Contract Text

The contract is concluded in German.

We store the contract text and send you the order data and our GTC in text form.

4. Shipping Conditions

In addition to the stated prices, shipping costs may apply. Further provisions regarding any applicable shipping costs can be found in the offers.

We ship the products to the delivery address provided during the order process.

Collection of products from us is generally not possible. If, in individual cases, this appears appropriate due to the special nature of the order or similar circumstances, collection from us requires an explicit separate agreement. Please contact us using the contact options provided in the imprint.

We reserve the right to ship an order of multiple items in several separate shipments to you to avoid delays and, in the case of delivery from different warehouses, unnecessary shipping processes.

The delivery times we indicate depend on a variety of factors and represent only a non-binding estimate, although we naturally always strive to deliver to you as quickly as possible.

If the delivery address is outside the Federal Republic of Germany, any increased shipping costs, import or export taxes and customs duties are to be borne by you. We are not responsible for delays caused by your country's customs department. For more details on fees, please contact your local customs office.

Regarding transport damage:

For consumers: If goods are delivered with obvious transport damage, please report such defects to the delivery agent as soon as possible and please contact us without delay. Failure to make a complaint or contact us has no consequences for your legal claims and their enforcement, in particular your warranty rights. However, it helps us to assert our own claims against the carrier or the transport insurance.

For entrepreneurs: The risk of accidental loss and accidental deterioration passes to you as soon as we have delivered the item to the forwarding agent, the carrier, or the person or institution otherwise designated to carry out the shipment.

5. Payment

The following payment methods are generally available in our shop:

• Advance payment: If you choose the advance payment option, we will provide you with our bank details in a separate email and deliver the goods after receipt of payment.

• PayPal Plus: In cooperation with the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A, 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), we offer you the following payment options as PayPal Services. Unless otherwise stated below, payment via PayPal does not require registration with PayPal. Further information can be found under the respective payment option and in the ordering process.

• PayPal, PayPal Express: To pay the invoice amount via the PayPal payment option, you must be registered with PayPal, authenticate yourself with your access data, and confirm the payment instruction. The payment transaction will be carried out by PayPal immediately after placing the order. PayPal may offer additional payment methods in the customer account to registered PayPal customers selected according to its own criteria. However, we have no influence on the provision of these modalities; further individually offered payment modalities concern your legal relationship with PayPal. • Credit card via PayPal: Your card will be debited by PayPal after the goods have been shipped.

• Direct debit via PayPal: Payment by direct debit via PayPal requires an address and credit check and is made directly to PayPal. By confirming the payment instruction, you issue a direct debit mandate to PayPal. You will be informed by PayPal about the date of the account debit (so-called pre-notification). The account will be debited before the goods are shipped.

• Purchase on account via PayPal: Purchase on account via PayPal requires an address and credit check and is made directly to PayPal.

• Purchase on account via PayPal and Ratepay: Purchase on account via PayPal requires an address and credit check and is made directly to Ratepay GmbH, Franklinstraße 28-29, 10587 Berlin ("Ratepay").

• Sofort by Klarna: To pay the invoice amount via the payment service provider Sofort GmbH, Theresienhöhe 12, 80339 Munich, you must have a bank account activated for online banking, authenticate yourself accordingly, and confirm the payment instruction. Your account will be debited immediately after placing the order. Further information can be found in the order process.

• Amazon Pay: To pay the invoice amount via the payment service provider Amazon Payments Europe S.C.A. 38 avenue J.F. Kennedy, L-1855 Luxembourg ("Amazon"), you must be registered with Amazon, authenticate yourself with your access data, and confirm the payment instruction. The payment transaction is carried out by Amazon Pay within one banking business day after placing the order. Amazon Pay may offer additional payment methods in the customer account to registered Amazon Pay customers selected according to its own criteria. However, we have no influence on the provision of these modalities; further individually offered payment modalities concern your legal relationship with Amazon Pay. 6. Right of Withdrawal

Consumers are entitled to the statutory right of withdrawal as described in the cancellation policy. Entrepreneurs are not granted a voluntary right of withdrawal.

7. Retention of Title

The products remain our property until full payment.

For entrepreneurs, the following also applies: We reserve ownership of the product until all claims from an ongoing business relationship have been settled in full. You may resell the reserved goods in the ordinary course of business; you hereby assign to us in advance all claims arising from this resale – regardless of any connection or mixing of the reserved goods with a new item – in the amount of the invoice amount, and we accept this assignment. You remain authorized to collect the claims, but we may also collect claims ourselves if you fail to meet your payment obligations. We will release the securities due to us at your request to the extent that the realizable value of the securities exceeds the value of the outstanding claims by more than 10%.

8. Warranty and Guarantees

8.1 Liability for Defects

For consumers: The statutory liability for defects applies.

For entrepreneurs: Only our own specifications and the manufacturer's product descriptions included in the contract are considered an agreement on the quality of the goods; we assume no liability for public statements by the manufacturer or other advertising statements. The limitation period for claims for defects in newly manufactured goods is one year from the transfer of risk. The preceding sentence does not apply to an item that has been used for a building in accordance with its usual use and has caused its defectiveness. The sale of used goods is subject to the exclusion of any warranty. The statutory limitation periods for recourse claims according to § 445a BGB remain unaffected. Otherwise, the statutory liability for defects applies.

The above limitations and reductions in deadlines do not apply to claims for damages caused by us, our legal representatives, or vicarious agents

• in case of injury to life, limb, or health

• in case of intentional or grossly negligent breach of duty as well as malice

• in case of breach of essential contractual obligations, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the contracting party may regularly rely (cardinal obligations)

• within the scope of a guarantee promise, if agreed, or

• insofar as the scope of the Product Liability Act is applicable.

Note for merchants: Among merchants, the duty to examine and give notice of defects regulated in § 377 HGB applies. If you fail to give the notice regulated therein, the goods shall be deemed approved, unless the defect was not recognizable during the examination. This does not apply if we have maliciously concealed a defect.

8.2 Guarantees and Customer Service

9. Final Provisions

For entrepreneurs: The contract is subject to German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Delivery and Availability
Our deliveries are subject to timely and complete delivery by our upstream suppliers. If a product you ordered is not available from our supplier, we reserve the right not to accept the order or to withdraw from the contract. In this case, we will inform you immediately and refund any payments already received without delay.

If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contractual relationships between us and you is our registered office.
